Born has acted as legal adviser to Svensk FastighetsFinansiering AB (publ) (SFF) in connection with a bondholders’ meeting and the subsequent update of the company’s base prospectus for its existing MTN programme with a framework amount of SEK 12,000,000,000 regarding secured bonds.

Born advised SFF throughout the bondholder consent process, in which SFF sought approval from its investors through a bondholders’ meeting held on 10 April 2026 to amend certain covenants applicable to its outstanding bond loans. Born’s work included the preparation of the notice and meeting documentation, as well as the negotiation and drafting of the approved amendments to the bond terms. The approved amendments have been incorporated into the updated base prospectus.

The updated base prospectus was approved by the Swedish Financial Supervisory Authority (Finansinspektionen) on 13 April 2026 and is valid for one year, replacing the previous base prospectus dated 26 March 2025.
