Born advised SFF throughout the bondholder consent process, in which SFF sought approval from its investors through a bondholders’ meeting held on 10 April 2026 to amend certain covenants applicable to its outstanding bond loans. Born’s work included the preparation of the notice and meeting documentation, as well as the negotiation and drafting of the approved amendments to the bond terms. The approved amendments have been incorporated into the updated base prospectus. The updated base prospectus was approved by the Swedish Financial Supervisory Authority (Finansinspektionen) on 13 April 2026 and is valid for one year, replacing the previous base prospectus dated 26 March 2025.

The proceeds are intended to strengthen the company’s financial position and enable continued commercialisation. The rights issue was resolved by the company’s board of directors, subject to approval by an extraordinary general meeting of the company, scheduled for 10 March 2026. The rights issue has been secured to 90.0 per cent through subscription undertakings from existing major shareholders and external investors. In the event that the rights issue is oversubscribed, the board of directors has proposed that it be authorised to extend the issue by resolving on a directed issue of shares to raise up to an additional SEK 15 million.
